1. Governing Provisions

All products sold and shipped by SignaGen Laboratories are subject to these Terms and Conditions of Sale, unless otherwise expressly modified by a written quotation issued by SignaGen or by a separate written agreement signed by authorized representatives of both SignaGen Laboratories and the customer. These Terms and Conditions constitute the complete and exclusive agreement governing the sale of products and services.

These Terms and Conditions supersede and replace any prior or contemporaneous written or oral communications, including but not limited to proposals, quotations, discussions, or representations. Any additional or conflicting terms included in customer-issued purchase orders, acknowledgments, or other documents shall be deemed null and void unless explicitly accepted in writing by SignaGen Laboratories.

By placing an order, the customer acknowledges and agrees to be bound by these Terms and Conditions. Acceptance of delivery of any product constitutes acceptance of these governing provisions in their entirety.

2. Product Safety

All SignaGen products are manufactured and supplied for research use only (RUO) and are intended to be used exclusively by trained and qualified professionals in laboratory or research environments. SignaGen products are not intended for diagnostic, therapeutic, or clinical use in humans or animals, unless explicitly stated otherwise in writing.

Certain products may contain biological materials, recombinant nucleic acids, viral vectors, or chemical components that may be hazardous if mishandled or used improperly. Customers are solely responsible for ensuring that all products are handled, stored, used, and disposed of in accordance with applicable laws, regulations, institutional policies, and safety guidelines.

Customers are required to carefully review and comply with all product documentation, including product datasheets, handling instructions, usage protocols, and Material Safety Data Sheets (MSDS) provided with each product or made available by SignaGen. Proper laboratory practices, personal protective equipment, and containment procedures should always be employed.

SignaGen further recommends that all work involving recombinant DNA, viral vectors, or genetically modified materials be conducted in compliance with NIH Guidelines for Research Involving Recombinant or Synthetic Nucleic Acid Molecules, as well as any applicable institutional biosafety committee (IBC) approvals.

3. Warranties

SignaGen Laboratories warrants that its products will meet or exceed the specifications stated at the time of shipment for the duration of their usable life. The usable life of a product is defined as the listed expiration date, or, if no expiration date is provided, six (6) months from the date of receipt by the customer.

This warranty is valid only if the product has been stored, handled, and used in accordance with SignaGen’s instructions. The warranty shall be void if the product has been altered, misused, improperly stored, subjected to contamination, or otherwise handled outside of recommended conditions.

Products manufactured or modified using customer-supplied materials, including plasmids, sequences, or biological samples, are warranted only with respect to the services performed and do not cover defects or failures attributable to the supplied materials themselves.

SignaGen Laboratories shall not be liable for indirect, incidental, special, or consequential damages, including but not limited to loss of data, loss of research time, loss of profits, or delays in manufacturing or delivery. SignaGen’s sole obligation under this warranty shall be, at its discretion, replacement of the product or issuance of a credit.

Unless otherwise agreed in writing, any technical assistance, scientific advice, or informational support provided by SignaGen is offered free of charge and without warranty, express or implied, including any warranty of fitness for a particular purpose. Customers are responsible for independently validating product suitability for their specific applications.
